HUMMINGBIRD LTD. SOFTWARE LICENSE AGREEMENT NOTE: The hardcopy Software License Agreement supersedes all Hummingbird installation text files. WARNING: READ CAREFULLY BEFORE ATTEMPTING TO USE A COPY OF THE SOFTWARE. This license is a legal agreement between you (either an individual or a single entity) and Hummingbird Ltd. or one of its subsidiaries ("HUMMINGBIRD") for this HUMMINGBIRD software that includes computer software and associated printed materials (if any), and may include on- line or electronic documentation. By downloading, installing, copying or otherwise using the software you agree to be bound by the terms of this license. DEFINITIONS: SOFTWARE. Enclosed HUMMINGBIRD software product(s) and its manuals and documentation together with any updates and maintenance releases provided to you from time to time by HUMMINGBIRD. COMPUTER. A single computer device, regardless of platform or operating environment, on which you will install and/or use the SOFTWARE. PART 1: LICENSING PROVISIONS: 1. GRANT OF LICENSE. a. Exceed onDemand Named License: Subject to the terms of this agreement, HUMMINGBIRD grants you this non-exclusive license to install and use the SOFTWARE. Except as otherwise provided herein, the Exceed onDemand Server component of the SOFTWARE ("Exceed onDemand Server") is licensed to a single COMPUTER ("Server") or a single Exceed onDemand Server Cluster ("Cluster"). You may use the Exceed onDemand Server and any related updates on the Server or Cluster while you posses and operate the Server or Cluster only. You may physically transfer the Exceed onDemand Server from one Server or Cluster to another provided that you remove any copy(ies) of the Exceed onDemand Server from the Server or Cluster from which the Exceed onDemand Server is being transferred. Upon purchase of the SOFTWARE, Hummingbird shall issue a sequence of alphanumeric characters which represents the number of Exceed onDemand named licenses that you have purchased ("Activation Key"). Each Activation Key can only be installed on one Server or Cluster. Except as otherwise provided herein the Exceed onDemand Client component of the SOFTWARE ("Exceed onDemand Client") is licensed to a single named user. The access from the Exceed onDemand Client to the Exceed onDemand Server is enforced through a list of named user identities maintained on the Exceed onDemand Server. When a user establishes a first connection from the Exceed onDemand Client to the Exceed onDemand Server, the Exceed onDemand Server will permanently grant an Exceed onDemand Named License to this user. The Exceed onDemand Server will stop granting Exceed onDemand Named Licenses to additional users when the number of Exceed onDemand Named Licenses that have already been granted reaches the maximum number of Exceed onDemand Named Licenses based on your initial license purchase of the SOFTWARE and any additional license purchase of the SOFTWARE. Subsequent connections from the Exceed onDemand Client to the Exceed onDemand Server by the same named user and initiated from the same COMPUTER will not require an additional Exceed onDemand Named License provided that the identity of this named user remains the same between the first connection and the subsequent connections. You may use the Exceed onDemand Client and any related updates on the COMPUTER while you posses and operate the COMPUTER only. A separate license agreement and fee are required for additional named users who wish to access the Server or Cluster. If this SOFTWARE is HUMMINGBIRD evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE. b. Exceed onDemand Server-Based License: Subject to the terms of this agreement, HUMMINGBIRD grants you this non-exclusive license to install and use the SOFTWARE. Except as otherwise provided herein, the Exceed onDemand Server component of the SOFTWARE ("Exceed onDemand Server") is licensed to a single COMPUTER ("Server") or a single Exceed onDemand Server Cluster ("Cluster"). You may use the Exceed onDemand Server and any related updates on the Server or Cluster while you posses and operate the Server or Cluster only. You may physically transfer the Exceed onDemand Server from one Server or Cluster to another provided that you remove any copy(ies) of the Exceed onDemand Server from the Server or Cluster from which the Exceed onDemand Server is being transferred. Upon purchase of the SOFTWARE, Hummingbird shall issue a sequence of alphanumeric characters which represents the number of Exceed onDemand Server-Based licenses that you have purchased ("Activation Key"). The Activation Key shall be installed on the Exceed onDemand Server. Each Activation Key can only be installed on one Server or Cluster. Except as otherwise provided herein the Exceed onDemand Client component of the SOFTWARE ("Exceed onDemand Client") is licensed to be installed on as many COMPUTER as needed and to be used by as many users as needed. All connections from the Exceed onDemand Client to the Exceed onDemand Server initiated by the same user from the same COMPUTER will constitute one Exceed onDemand Server- Based License. The number of Exceed onDemand Server-Based Licensed used at any given time cannot exceed the maximum number of Exceed onDemand Server-Based License based on your initial license purchase of the SOFTWARE. A separate license agreement and fee are required for additional Exceed onDemand Server-Based Licenses. If this SOFTWARE is HUMMINGBIRD evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE. 2. TITLE AND COPYRIGHT. The SOFTWARE (including any images, applets, photographs, animations, video, audio, music and text incorporated into the SOFTWARE) is owned by HUMMINGBIRD or its suppliers and is protected by Canadian copyright laws and international treaty provisions. HUMMINGBIRD licenses you to make one copy only of the SOFTWARE for backup purposes. Part of this SOFTWARE may have been developed by a third party software supplier, which holds copyright and other proprietary rights to the SOFTWARE. 3. RESTRICTIONS ON USE. This license is your proof of license to exercise the rights granted herein and must be retained by you. You may not: (i) transfer, sublicense, rent, distribute or grant your rights in the SOFTWARE or in the license to others; (ii) electronically transfer the SOFTWARE from one computer to another (unless you obtain licenses from HUMMINGBIRD for each of the COMPUTERS using the SOFTWARE); (iii) attempt in any way to determine the source code of the SOFTWARE, or modify, disassemble, reverse assemble, or create derivative works based on the SOFTWARE; (iv) use the SOFTWARE in a time sharing or service bureau application; or (v) distribute this SOFTWARE outside of the country in which the license was obtained. Use of software or hardware that reduces the number of users directly accessing or utilizing the server Software (sometimes called "multiplexing" or "pooling" software or hardware) does not reduce the number of client Software licenses required; the required number of client licenses would equal the number of distinct inputs to the front end of the multiplexing or pooling software or hardware. You agree to allow HUMMINGBIRD or its agent to inspect or conduct an independent audit from time to time on your use of the SOFTWARE to verify your compliance to this agreement. 4. TERMINATION. You may terminate this license agreement at any time. HUMMINGBIRD reserves the right to terminate this license upon breach of these terms and conditions. In the event of termination, you will either return all copies of the SOFTWARE to HUMMINGBIRD or, with HUMMINGBIRD's prior consent, provide HUMMINGBIRD with a certificate of destruction of all copies of the SOFTWARE. 5. LANGUAGE. The original of this agreement is in English. If it is translated into another language, the English language version shall prevail. PART 2: LIMITED WARRANTY PROVISIONS: 1. SOFTWARE. Except as otherwise provided herein, HUMMINGBIRD warrants for a period of ninety (90) days from the date of purchase that the SOFTWARE will execute its programming instructions in material conformance with the documentation when properly installed on the COMPUTER. Due to the complex nature of computer software, HUMMINGBIRD does not warrant that the operation of the SOFTWARE will be uninterrupted or error free. 2. MEDIA. HUMMINGBIRD warrants the media upon which this SOFTWARE is recorded to be free of defects in materials and workmanship under normal use for a period of ninety (90) days from the date of purchase. 3. REMEDIES. In the event this SOFTWARE fails to execute its programming instructions, or if any media proves to be defective during the warranty period, your remedy shall be to return the media to HUMMINGBIRD for replacement. Should HUMMINGBIRD be unable to replace the media within a reasonable time, your alternative remedy shall be a refund of the purchase price upon return of the product and all copies. 4. NOTICE OF WARRANTY CLAIMS. You must notify HUMMINGBIRD in writing of any warranty claim not later than thirty (30) days after the expiration of the warranty period. 5. NO OTHER WARRANTIES. To the maximum extent permitted by applicable law, HUMMINGBIRD disclaims all other warranties, either express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, with respect to the software. 6. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. Notwithstanding any provision to the contrary in this agreement, HUMMINGBIRD shall not be liable to customer for any indirect, special or consequential damages, whether in contract, tort or otherwise, arising in connection with this agreement or the use of the SOFTWARE by customer, including, without limitation, any lost data, lost revenue or lost profits even if HUMMINGBIRD has been advised of the possibility of or could have foreseen such damages. Under no circumstances shall HUMMINGBIRD's cumulative liability to customer arising out of or related to this agreement, whether in contract, tort or otherwise, exceed the total software fees paid by customer to HUMMINGBIRD hereunder. 7. JURISDICTION. This license is governed by the Laws of the Province of Ontario. 8. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE and the documentation are "commercial items" as that term is defined in 48 C.F.R. 2.101 consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, if the licensee hereunder is the U.S. Government or any agency or department thereof, the SOFTWARE and the documentation are licensed hereunder (i) only as a commercial items, and (ii) with only those rights as granted to all other end users pursuant to the terms and conditions hereof. 9. MAINTENANCE AND SUPPORT. By licensing this Software, you have subscribed to HUMMINGBIRD maintenance and support and are required to pay the annual support and maintenance fees. The initial term of maintenance and support is for a period of one (1) year; thereafter, the maintenance and support term renews automatically on the anniversary date for successive one (1) year terms and you will be invoiced accordingly at the applicable rate, annually in advance, unless either party provides written notice of termination at least ninety (90) days prior to the expiry of the then-current term. HUMMINGBIRD may reinstate lapsed maintenance and support services, in accordance with its then-current policies, upon payment by you of the applicable reinstatement fee. 10. GENERAL. To the extent permitted by law, the parties hereby agree that this agreement and all associated documents may be in the English language. 11. EXPORT CONTROL. You acknowledge and accept that the SOFTWARE is subject to the export administration and control laws and regulations imposed by the governments of Canada and/or the United States, as applicable. You agree to comply with all such export and re-export laws and regulations imposed by the governments of Canada, the United States, and/or any country to which the SOFTWARE is shipped. You further agree not to export, re-export, transship or otherwise dispose of the SOFTWARE or disclose any technical information about it, directly or indirectly, in contradiction of such export and re-export laws and regulations. You acknowledge and accept that remote access to the SOFTWRAE is tantamount to re-exporting the SOFTWARE. The terms of this paragraph shall survive the expiration or termination of this agreement.
